Conditions of Use in relation to Digital Wallet – Corporate Cards

About services provided to the Customer

  1. These Conditions of Use will apply in addition to our Corporate Card Terms and Conditions and our Banking Terms and Conditions (as amended or replaced). If there’s any conflict between these Conditions of Use and our Corporate Card Terms and Conditions and/or our Banking Terms and Conditions, our Corporate Card Terms and Conditions and/or our Banking Terms and Conditions (as applicable) will take priority.
  2. The payment obligation in respect of the transactions detailed in the card statement is set out in our agreement with the Customer. Payment in respect of these transactions is collected under the instruction of the Customer. Payment of the transactions by a person/entity other than the Customer does not create a contractual relationship between us and the payer.

Digital Wallet

Registration of your Digital Wallet

  1. By registering and using Digital Wallet you confirm that you have the Customer’s agreement to use it and that you will use it in accordance with that agreement and these Conditions of Use.
  2. You can use your Digital Wallet immediately after adding your card to it.
  3. However, if your card has been lost, stolen, renewed or replaced you have to make a chip & PIN transaction in the prescribed period below to continue using the Digital Wallet. If you have not done so and the period has elapsed, your Digital Wallet may be deactivated.

    a. lost or stolen card – a chip & PIN transaction within 30-days from the date your card is reported as lost or stolen;
    b. renewed card – when a card is replaced due to it nearing its expiry date, a chip & PIN transaction with your new card before the expiry date shown on your old card;
    c. replaced card – when a card is replaced for reasons outside of renewal and lost/ stolen, for example a damaged card, a chip & PIN transaction within 30-days from the date you request to have your card replaced.

  4. You will need to independently agree separate terms with the Digital Wallet Provider which govern the registration and use of the Digital Wallet (including the use of any data you may share with the Digital Wallet Provider).

Safety of your Digital Wallet

  1. Any person who can unlock your Mobile Device may be able to make transactions using your Digital Wallet. You are responsible for keeping your Digital Wallet safe and ensuring it is not used by unauthorised persons and/or for unauthorised purposes. You have to:

    i. Keep your Mobile Device safe by:
    a) not choosing easily guessable security details relating to your Digital Wallet or your Mobile Device and not sharing them with anyone;
    b) only registering your biometric data on your Mobile Device;
    c) not activating a payment session on any linked devices while someone else is using it;
    ii. Delete your card from your Mobile Device before you:
    a) dispose of your Mobile Device, for example, when you sell or give it to someone else;
    b) pass it to someone else, for example, for it to be repaired; and
    iii. If you want to stop using your card, ensure that you delete all information held in your Digital Wallet.

Termination of your Digital Wallet

  1. We may without prior notice, cancel or suspend the use of your Digital Wallet if:

    i) you don’t follow these Conditions of Use;
    ii) we suspect fraud or that the security of your card and/or Digital Wallet has been compromised;
    iii) your security details have not been kept safe;
    iv) we’re required, requested or entitled to pursuant to our agreement with the Customer, including under our Banking Terms and Conditions and/or our Corporate Card Terms and Conditions (as amended or replaced);
    v) the Digital Wallet is withdrawn by the Digital Wallet Provider;
    vi) we reasonably consider either that by continuing to issue you with your card and/or Digital Wallet we may be at risk of breaching any applicable law, regulation, code, court order or other duty, or that we or another member of HSBC Group Holdings may be exposed to action or censure from any government, regulator or law enforcement agency; or
    vii) our agreement with the Customer has terminated.

  2. If we do this, we will request you to delete your card from your Digital Wallet.
  3. You can stop using your Digital Wallet by removing your card from your Digital Wallet

Jurisdiction

  1. These Conditions of Use are governed by the laws of England and Wales

Miscellaneous

  1. If your physical card or Mobile Device is lost or stolen, or if you believe someone else has used it or has discovered your security details, please call us immediately on 0800 023 1062 (+44 0 207 367 7852 if you're outside the UK).
  2. We may vary these Conditions of Use from time to time.

Key information – Conditions of Use

  1. Definitions

Corporate Cards Services means the corporate cards services supplied to the Customer in accordance with our Corporate Card Terms and Conditions and our Banking Terms and Conditions (as amended or replaced).

Digital Wallet means an electronic payment system that stores encrypted card details on your Mobile Device.

Digital Wallet Provider means the provider of a Digital Wallet such as Apple Pay or Google Pay or Samsung Pay.

Mobile Device means a suitable device such as a smartphone, tablet or other electronic, digital or mobile device stored with or enabled to access or use your card.

We, us and ours means HSBC Innovation Bank Limited; You and yours means any person to whom we agreed with the Customer to issue a Corporate Card in connection with the Corporate Card Services

The Customer means the entity which has entered into an agreement with us for the provision of a corporate card programme which may be the company you work for or, if your company is part of a group (or you are an employee of such group) and we are issuing the card at the request of a parent company/entity then the Customer is the relevant parent company/entity.
